RESIGNATION OF A COMPANY DIRECTOR                                               
The Company wishes to advise that Mr A J de Nysschen has resigned from          
the Murray & Roberts Group with effect from 31 August 2002 and as a             
consequence has also resigned as an executive director of the Company,          
with effect from that date.                                                     
Mr de Nysschen`s responsibilities will be reassigned among the other            
executive directors and senior executives of the Company.
