ANNOUNCEMENT                                                                    
Reference is made to the cautionary announcements dated April 8 2002 and May    
17 2002 in which Bidvest`s subsidiary, Bidvest plc, advised of its              
submission to the Office of Fair Trading ("OFT") regarding a possible merger    
with Brake Bros plc ("Brake Bros").                                             
As at the date of this announcement the OFT`s consent to the possible merger    
with Brake Bros is still awaited.                                               
Shareholders` attention is drawn to an announcement by Brake Bros released      
on the news service of the London Stock Exchange on June 25 2002 that Brake     
Bros has reached an agreement on the terms of a recommended cash offer to be    
made by a third party for the issued share capital of Brake Bros.               
Bidvest plc awaits the outcome of its submission to the OFT at which time it    
will consider its options.
