Shareholders are referred to the interim results announcement of Clinics and
Netcare (collectively "the Group") published on 23 May 2001 in which it was
stated that alternatives were been evaluated for restructuring the Group
into one listed entity ("the proposed restructuring").

Pursuant to the abovementioned announcement, shareholders are advised that
it is envisaged that discussions relating to the proposed restructuring will
occur between Netcare, on the one hand, and Clinics and certain of its
shareholders on the other hand. The proposed restructuring may have an
impact on the price at which Clinics and Netcare shares trade on the JSE
Securities Exchange South Africa.

Accordingly, shareholders are advised to exercise caution when dealing in
their shares until a further announcement is made.
