DISPOSAL OF THE MAIN PIPESYSTEMS DIVISION OF MURRAY & ROBERTS LIMITED
In  an  announcement  dated 6 April 2001, shareholders  were  advised  that,
subject to the approval of the Competition Commission, the Company's  wholly
owned  subsidiary,  Murray  &  Roberts  Limited  ("M&R")  had  concluded  an
agreement  in terms of which the Main Pipesystems division of M&R  had  been
sold as a going concern with effect from 1 March 2001.

Shareholders  are  now  advised  that  the  unconditional  approval  of  the
Competition  Commission  has been received and that  the  disposal  proceeds
amounting to R 173,8 million (including interest for the period 1 March 2001
to payment date) have been received by M&R.
