AMENDMENT  TO  THE ANNOUNCEMENTS PUBLISHED ON 23 MAY 2001 REGARDING  CAPITAL
DISTRIBUTIONS  AND  NOTICE  OF  LAST  DAY  TO  REGISTER  FOR   THE   CAPITAL
DISTRIBUTIONS.

Notice  is  hereby given that the respective Boards of Directors of  Netcare
and  Clinics  have proposed that Interim Capital Distributions as  reflected
below, will be paid out of share premium to members registered in the  books
of  Netcare  and  Clinics at the close of business  on  6  July  2001.  Such
distributions  are  subject  to  the approval  of  shareholders  at  general
meetings of Netcare and Clinics scheduled for 4 July 2001.
Amounts of Capital Distribution:
NETCARE  - 3,5 cents per share
CLINICS  - 6,0 cents per share

Cheques in respect of the capital distribution out of share premium will  be
posted   to   members  at  their  registered  addresses  or   electronically
transferred to their bank accounts on or about 13 July 2001.

After the payment out of share premium, each of Netcare and Clinics will  be
able  to  pay  their  debts as they become due in  the  ordinary  course  of
business,  and their consolidated assets, fairly valued, will  exceed  their
consolidated liabilities.

Further details in this regard will be contained in a circular to be  posted
to shareholders of Netcare and Clinics on or about 19 June 2001.
