CAUTIONARY ANNOUNCEMENT RENEWAL: TRUSTCO GROUP HOLDINGS
LIMITED ("TRUSTCO") TRANSACTIONS IN PROGRESS


1. Trustco Shareholders ("Shareholders") are referred to the cautionary
   announcements released on SENS on 27 February 2024 and 15 April 2024
   respectively, regarding the Company's processes of concluding pivotal
   transactions with key shareholders.


2. Trustco announced on SENS dated 23 April 2024 the acquisition of 11.35% of
   Legal Shield Holdings Limited ("LSH") from RVF.


3. Shareholders are also referred to the announcement published on SENS on 15
   August 2023 regarding the Management Agreement, which terms have been
   announced, but remain unimplemented to date. Irrevocable Undertakings for the
   Management Agreement have been received. It is anticipated that the
   Management Agreement will form part of the circular encompasses all these
   transactions.
4. The remaining expectant transactions as described in the beforementioned SENS
   announcements are in the final stages of being submitted to board for
   consideration and approvals.     Shareholders are advised that the anticipation
   conclusion of the remaining transactions would be before the end of June 2024.


5. If negotiations are successfully concluded, these Transactions might have a
   material effect on the price of the Company's securities.


6. Accordingly, Shareholders are advised to continue to exercise caution when
   dealing in the Company's securities until a further detailed announcement
   regarding the agreed terms of the Transactions is made. Any questions can be
