          -   Appointments of Directors & Resignation of Directors
          -   Appointment of Chairman & Resignation of Chairman
          -   Termination of Company Secretarial Services



 In compliance with paragraph 3.59 of the Listings Requirements of the JSE Limited, the board of directors
 of Pembury (“the Board”) hereby notifies its shareholders of the following changes:

Appointment of Directors
 - Mr. Siyabonga Zwane has been appointed as a Non-Executive Director with effect 31 March 2023.
 - Mr Raymanrd French has been appointed as a Non-Executive Director with effect 31 March 2023.
 - Ms Pretty Ndoyeni has been appointed as Non-Executive Director with effect 31 March 2023.
 - Ms Masego Motloba has been appointed as Non-Executive Director with effect 31 March 2023.


 Resignation of Directors
 - Dr. Mandla Lamba has resigned as a Non-Executive Director and the Chairman with effect from 30 June
     2023. The Board thanks Mandla for his contribution to the Company and wishes him well in his future
     endeavours.
 -   Ms Cordelia Sachiti has resigned as the Chief Executive officer with effect from 31 August 2023. The Board
     thanks Cordelia for her contribution to the Company and wishes her well in her future endeavours.
 -   Ms Masego Motloba has resigned as Non-Executive Director with effect from 14 June 2023. The Board
     thanks Masego for her contribution to the Company and wishes her well in her future endeavours.

 Appointment and Resignation of Chairman
 -   Mr Siyabonga Zwane has been appointed as the Chairman of the Board with effect 30 June 2023.
 -   Mr Siyabonga Zwane has resigned as a Non-Executive Director and the Chairman with effect from 6 July
     2023

Termination of Company Secretarial Services

 -   IKB Company Secretaries (Pty) Ltd has resigned as the Company Secretary of the Company with
     immediate effect, 6 July 2023.
