CATEGORY 2 TRANSACTION: FINALISATION ANNOUNCEMENT
Shareholders are referred to the category 2 transaction announcement released jointly by PFB
and African Equity Empowerment Investments Limited (“AEEI”) on SENS on Thursday, 22
December 2022 (“Category 2 Announcement”), advising that Talhado Fishing Enterprises
Proprietary Limited (“Talhado”) had entered into a share repurchase agreement with Scofish
Proprietary Limited (“Scofish”), and separately that Premier Fishing SA Proprietary Limited
(“PFSA”), a wholly owned subsidiary of the Company, had entered into a subscription
agreement in terms of which it would subscribe for an additional 607 ordinary shares in
Talhado’s issued share capital.
All capitalised terms used but not defined in this announcement shall bear the meanings
ascribed to them in the Category 2 Announcement.
Shareholders are advised that all conditions precedent listed in the Category 2 Announcement
in relation to the Repurchase Agreement and Subscription Agreement have been fulfilled and,
accordingly, the transactions contemplated in these agreements are now unconditional and
were implemented on Tuesday, 28 February 2023.
