TERMINATION OF THE DEED OF COMPANY ARRANGEMENT TERM SHEET
Shareholders are referred to the SENS announcement released on 27 June 2023, regarding
the Deed of Company Arrangement (“DOCA”) proposal term sheet with the objective for
Murray & Roberts to regain control of RUC Cementation Mining Contractors Pty Ltd (“RUC”).
Notice was received on 3 July 2023 from the Administrators of Murray & Roberts Pty Ltd (in
Administration), that certain conditions precedent in the DOCA Term Sheet have not been
satisfied before the Transaction End date. As a result, the Administrators have notified
Cementation APAC Pty Ltd (“CAPAC”) (the proponent to the DOCA) that the DOCA Term
Sheet has terminated.
CAPAC was recently established in Australia and will now be developed by the Group with
the intention of providing engineering and contracting services to mining clients in the Asia
Pacific region.
