RESULTS OF DISTRIBUTION ELECTION, ISSUE OF NEW SHARES AND TOTAL VOTING RIGHTS


Shareholders are referred to the previous announcements in respect of the election offered to shareholders to
receive the interim dividend for the six months ended 30 June 2019, either as a cash dividend or as a return of
capital by way of an issue of new NEPI Rockcastle shares (“return of capital”).

Shareholders are advised that a total of 13 958 314 new NEPI Rockcastle shares (out of a maximum of
22 877 310 new NEPI Rockcastle shares) (“return of capital shares”) will be issued on market as listed shares
on Friday, 1 November 2019. The return of capital shares, when issued, will be credited as fully paid, will rank
pari passu in all respects with the existing issued shares and will be fully fungible.

Following the issue of the return of capital shares, the total issued share capital of the company will increase to
599 797 201 ordinary shares with a par value of €0.01 each. Therefore, the total number of voting rights in NEPI
Rockcastle will be 599 797 201 with effect from Friday, 1 November 2019.

NEPI Rockcastle has a dual primary listing on the Main Board of the JSE and on Euronext Amsterdam.
