Board Position Changes

Glencore plc announces the following changes to positions held by its Board members:

1.   Senior Independent Director
     Gill Marcus has replaced Martin Gilbert as Senior Independent Director following Mr Gilbert’s offer of
     resignation, made in the interests of greater diversity and inclusiveness. He will remain as an Independent Non-
     Executive Director.

2.   Audit Committee Chair
     From March 2023, Liz Hewitt will replace Gill Marcus as Chair of the Audit Committee, who will remain as a
     member of the Committee.

Kalidas Madhavpeddi, Chairman of the Board, commented:
“On behalf of the Board, I would like to thank Martin for his considerable contribution to the Board’s governance as
Senior Independent Director, especially during our transitions to a new chairman and CEO.
We are delighted that Gill has accepted the appointment as Senior Independent Director. Her extensive experience
in governance and leadership makes her a natural fit for this role.
We are also very pleased that Liz, with her strong relevant experience, has agreed to become our next Audit
Committee Chair”
This announcement is made in fulfilment of the Company's obligations under UK LRs 9.6.11 and 9.8.6(9). Following
the appointment of Ms Marcus, Glencore will satisfy the UK Listing Rules targets regarding diversity in one of its four
most senior positions. The Glencore Board comprises five men and four women.
