CHANGES TO THE BOARD OF DIRECTORS


In compliance with paragraph 3.59 of the Listings Requirements of JSE Limited, the board of directors of
Conduit Capital (“the Board”) is pleased to notify shareholders of the following changes to the Board, all with
effect from 5 February 2021:

-   Mr Lourens Erasmus Louw has been appointed as the Financial Director of the Constantia Insurance
    Group, Conduit Capital’s wholly-owned subsidiary. As a result of this appointment, Lourens will step down
    as Financial Director of Conduit Capital; and

-   Ms Bianca Yan (CA(SA)) has been appointed as Financial Director of Conduit Capital. Bianca has been
    employed as Head of Finance at Conduit Capital for the past ten years. The Company is fortunate to have
    someone with her credentials who is familiar with our business to take on the role.

The Board would like to express its sincere gratitude to Lourens for his invaluable contribution to the Company
during his tenure. He will remain fully invested in the success of the Group in his important new role. The Board
furthermore welcomes Bianca to her new role and looks forward to her continuing contribution to the Group.
