GPI hereby discloses the following information in respect of a dealing in GPI ordinary shares
by funds managed by Value Capital Partners Proprietary Limited (“VCP”). It is noted that Mr
MM Nkosi, a non-executive director of the Company, has an indirect beneficial interest in VCP.
The disposal in question forms the subject of the Company’s even-dated announcement in
terms of section 122(3)(b) of the Companies Act, No. 71 of 2008, as amended, and paragraph
3.83(b) of the JSE Limited Listings Requirements. While GPI understands that VCP is not an
associate of Mr Nkosi as such term is contemplated in the JSE Listings Requirements, the
following information is provided in the interest of full disclosure.
