Notification of Transactions by Directors/Persons Discharging Managerial
Responsibility
On 18 May 2018, Vivo Energy plc (the Company) granted to certain directors and persons
discharging managerial responsibility (the PDMRs) nil-cost options (the Awards) over
ordinary shares of the Company (the Shares). The Awards were granted under the 2018
IPO Plan, and will vest, subject to performance conditions relating to consolidated gross
cash profit growth and adjusted net income growth being met, in three equal tranches on the
first, second, and third anniversary of the admission of the Shares to the premium listing
segment of the Official List and to trading on the London Stock Exchange’s main market for
listed securities.
Details of the number of Shares underlying each PDMR’s Award, as previously disclosed in
the Company’s final prospectus dated 4 May 2018, are detailed below.
