 CHANGES TO THE BOARD AND SUB-COMMITTEES OF WILSON BAYLY HOLMES-OVCON
 LIMITED

 Following the resignation of the independent non-executive director, Savannah Maziya, on 23
 November 2022, and in accordance with paragraph 3.59(b) of the JSE Limited Listings
 Requirements, the board of directors of the Company (“the Board”) is pleased to announce the
 appointment of Nosipho Nokuthula Sonqushu (“Nosipho”) as an independent non-executive
 director and a member of the Audit and Risk committee of the Company with effect from 5
 December 2022.

 Nosipho is a Chartered Accountant and a level 2 candidate for the Chartered Financial Analyst
 (“CFA”) qualification. She has extensive experience across a number of sectors and currently
 serves as Chairperson of the Audit and Risk Committee of Seriti Resources Holdings.

 The board looks forward to Nosipho’s contribution to the board and its committees.
