GRANTING OF RIGHTS TO PARTICIPATE IN THE 2013 WBHO SHARE PLAN APPROVED BY SHAREHOLDERS AT
THE ANNUAL GENERAL MEETING IN NOVEMBER 2014
The company is currently under a cautionary therefore the relevant permission was obtained from the JSE in
terms of section 3.70 of the JSE Listings Requirements to waive section 3.69 of the JSE Listings Requirements to
proceed with the annual allocation of Performance Share awards per the 2013 WBHO Share Plan as the
directors and prescribed officers have no discretion in this transaction.
Accordingly the following Executive Directors and Prescribed Officers have been granted rights (off market and
at nil cost) to participate in the Company’s share incentive plan, which are subject to performance conditions
and vest after three years:
Executive Directors:
WP Neff 31,500 conditional awards
EL Nel 22,500 conditional awards
CV Henwood 29,500 conditional awards
Prescribed Officers:
AF De Necker 28,500 conditional awards
CA Jessop 28,500 conditional awards
EA Mashishi 15,000 conditional awards
PJ Foley 28,500 conditional awards
SN Gumede 15,000 conditional awards
The effective date of the above transactions is 11 December 2020. Approval for the individual allocations has
been given by the Remuneration Committee.
