EXTENSION OF TIME FOR ANNUAL GENERAL MEETING
Trustco shareholders (“Shareholders”) are referred to the previous Annual General Meeting (“AGM”)
held on 12 September 2019, which outcome was also published on SENS on even date.
Shareholders are advised that in terms of Section 187 (1) (c) of the Namibian Companies Act (“the
Act”), the Company is required to have its next AGM within 15 (fifteen) months from the preceding
AGM.
Shareholders are referred to the SENS announcement dated 31 March 2020 in terms whereof
Shareholders was advised that the Company changed its financial year end from 31 March to 30
September. With the change in the financial year, the Annual Financial Statements (“AFS”) would only
be completed and distributed to Shareholders after the 15 (fifteen) month period.
As provided for in the Act, the Company submitted an application to the Business and Intellectual
Property Authority (“BIPA”) for an extension of time to have its AGM, which was subsequently
approved. The AGM is now required to be held on or before 31 March 2021 where the AFS would be
tabled, amongst other agenda items, to be approved by Shareholders.
