DEALINGS IN SECURITIES BY A DIRECTOR AND BY ASSOCIATES OF A DIRECTOR OF THE COMPANY REGARDING AN AMENDMENT TO 
EXISTING FINANCE ARRANGEMENTS


Shareholders and noteholders are advised that on 12 December 2022 GRG Investments Proprietary Limited ("GRG
Investments") agreed terms to amend the existing R18 000 000 three-year loan and related security agreement (the
"Amendment") concluded with Investec Bank Limited, as detailed in the announcements released on 8 December
2021 and 31 August 2022.

In terms of the Amendment, an additional 554 228 Equites shares at a price of R16.95. per share for a total value of
R9 394 164.60 have been pledged as security, following which the pledge and cession arrangement has been revised
as follows:

GRG Investments - 2 020 648 Equites shares;
Riaan Gous – 664 228 Equites shares; and
Nicola Gous - 300 000 Equites shares.

The above transaction constitutes a dealing in securities by a director and by associates of a director (as Riaan Gous
is a director and sole shareholder of GRG Investments and Nicola Gous is the wife of Riaan Gous). The transaction
was conducted off-market and clearance was obtained.
