The sale of ordinary shares was triggered by the termination on 28 September 2020 of an
existing three-year funding agreement between the associate of the director and a third party
lender, in terms of which the associate pledged, as collateral, 591 003 KAP ordinary shares
as security for a loan in the amount of R3,145,484.

Clearance for the above transaction was obtained in terms of paragraph 3.66 of the JSE
Limited Listings Requirements.
