DEALINGS IN SECURITIES BY AN ASSOCIATE OF A DIRECTOR RESULTING FROM SPECIFIC
FINANCING COMMITMENTS


Shareholders are referred to the SENS announcement dated 12 May 2020, in which Vukile's strategic black empowerment
investor, Encha Properties Equity Investments Proprietary Limited ("Encha Properties") announced certain amendments
to their loan and security arrangements with Investec Bank Limited ("Investec").

Further to the above, Encha Properties has advised the company that it is required to dispose of 5 500 000 Vukile shares
and to utilise the proceeds from the sale to reduce its loan capital balance with Investec, as previously committed to.
Following the disposal, Encha Properties will still hold 58 925 132 Vukile shares and has informed the company that it is
its intention to remain a long-term shareholder of Vukile. Following the disposal, the shareholding of Encha Properties
represents 6.0% of the total shareholding in Vukile.

Further to the above, shareholders are advised of the following transactions that have been undertaken by Encha Properties,
an associate of Dr Sedise Moseneke, a non-executive director of Vukile.
