                 RESULTS OF GENERAL MEETING AND FULFILMENT OF CONDITIONS PRECEDENT 
 
 
1.     Introduction  
 
       Super Group shareholders are referred to the announcements released on SENS on Monday, 20 August 2012 
       and Thursday, 30 August 2012 as well as the circular to Super Group shareholders dated 30 August 2012 (the 
       “Circular”), relating to the proposed implementation of a broad-based black economic empowerment scheme 
       and the related restructuring of Super Group and its subsidiaries for this purpose (“BEE Transaction”). 
        
2.    Results of General Meeting 
        
       At the general meeting of Super Group shareholders held at 09:00 on Monday, 1 October 2012, the ordinary and 
       special resolutions necessary to effect the BEE Transaction were approved by the requisite majority of Super 
       Group shareholders. 
        
3.    Conditions precedent  
        
       All the conditions precedent to the BEE Transaction, as set out in the Circular, have been fulfilled.
