CANCELLATION AND DELISTING OF REPURCHASED SHARES


Shareholders are hereby advised that an application has been made to the JSE Limited
for the cancellation and delisting of 1 428 518 shares (“Delisting”), which is expected to
occur on or about 10 March 2023.

The aforementioned shares were repurchased by a wholly owned subsidiary of the
Company during the period between 1 March 2022 and 28 February 2023 in accordance
with the general authority granted by shareholders at the Company’s annual general
meetings held on 8 November 2021 and 7 November 2022, and represent 1.88% of the
Company's total issued share capital prior to the share repurchase.

None of the share repurchases were made during a closed period.

The number of issued Bowler Metcalf shares after the Delisting will be 74 703 569 ordinary
shares of no par value.
