Transaction in own shares
Tiso Blackstar shareholders are advised that during the period 18 June 2018 to 28 June 2018 the
Company purchased 880,978 Tiso Blackstar ordinary shares of €0.76 each (the “Shares”) at an
average price of R4.34 per share. The purchased Shares are expected to be held in treasury in
accordance with applicable law. The number of Shares purchased represents 0.324% of the total
shares in issue.
The Company has a total of 272,307,233 ordinary shares in issue, of which 2,136,628 are non-voting
treasury shares and 6,887,236 are held under the Management Incentive Scheme (“MIS”). For
accounting purposes, the shares held by the MIS are accounted for as if they were not issued to
participants, however they have been committed to meeting the Company’s obligations to participants
under the MIS and the participants have the right to vote the shares.
The total number of voting rights in the Company is therefore 270,170,605.
Tiso Blackstar confirms that, following the awards above, the Concert Party, as defined in the circular
posted to shareholders dated 26 May 2017, now holds 34,3383% of the Company's total voting rights.
