CHANGES TO THE BOARD AND COMMITTEES

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements and paragraph
6.42 of the Debt and Specialist Securities Listings Requirements, the board of directors of
PSG Financial Services ("Board") wishes to advise shareholders that Ms Samara Totaram
("Samara") has been appointed as an independent non-executive director of PSG Financial
Services with effect from 1 August 2025, subject to regulatory approval. She has also been
appointed as a member of the audit, risk and social and ethics committees with effect from 1
August 2025.

Samara is a Chartered Accountant (SA) and Chartered Financial Analyst (CFA) with
experience in the areas of corporate finance and private equity at operational and executive
management level across various industries, including financial services and education, for
both listed and unlisted entities. Samara served as chief financial officer of STADIO Holdings
Limited until December 2023. Samara has also served on numerous boards of listed and
unlisted companies over the last 17 years.

The Board extends a warm welcome to Samara and looks forward to her valuable contribution.
The abovementioned appointment was made in accordance with PSG Financial Services'
policy for the selection and appointment of directors to the Board.
