CHANGE IN SHAREHOLDING NOTIFICATION

In accordance with section 122(3)(b) of the Companies Act 71 of 2008 (“the Act”) and section
3.83(b) of the JSE Limited Listings Requirements, holders of ordinary shares in the Company
are advised that Remgro Limited (“Remgro”) has disposed of a beneficial interest in the
ordinary shares of the Company, such that the total beneficial interest in the ordinary shares
held by Remgro now amounts to 0% of the total number of Grindrod ordinary shares in issue.

Shareholders are referred to announcements released on 26 September 2022 and
28 September 2022 regarding the distribution of Remgro’s shareholding in Grindrod to
Remgro shareholders.

Grindrod hereby confirms that it has received the required notice from Remgro in terms of
section 122(3)(a) of the Act and that it has filed the required notices with the Takeover
Regulation Panel.
