DISCLOSURE OF BENEFICIAL INTERESTS IN SECURITIES

In accordance with section 122(3)(b) of the Companies Act, No. 71 of 2008 (Act) and section
3.83(b) of the JSE Limited Listings Requirements, shareholders are hereby advised that
Nedbank Group received formal notifications from the Goldman Sachs Group (Goldman
Sachs) as follows:

(i)       on 8 August 2022, that Goldman Sachs had, in aggregate, acquired an interest in
          the ordinary shares of Nedbank Group, such that the total interest in the ordinary
          shares of Nedbank Group held by Goldman Sachs amounted to 7.53% of the total
          issued ordinary shares of Nedbank Group; and

(ii)      on 17 August 2022, that Goldman Sachs had, in aggregate, disposed of an interest
          in the ordinary shares of Nedbank Group, such that the total interest in the ordinary
          shares of Nedbank Group held by Goldman Sachs amounts to 2.17% of the total
          issued ordinary shares of Nedbank Group.

Nedbank Group applied for, and was granted, dispensation by the Takeover Regulation Panel
in respect of issuing an announcement to shareholders in relation to the acquisition and
disposal by Goldman Sachs of interests in ordinary shares outside the prescribed time period
of 3 business days in terms of section 122(3)(b) of the Act in order to verify the nature of the
transactions.

The board of directors of Nedbank Group accepts responsibility for the information contained
in this announcement and, to the best of their knowledge and belief, such information is true,
and this announcement does not omit anything likely to affect the importance of such
information contained in this announcement.

Nedbank Group has filed the required notice with the Takeover Regulation Panel.
