DISPOSAL OF MINORITY INTERESTS IN OCTOTEL PROPRIETARY
LIMITED AND RSAWEB PROPRIETARY LIMITED ("THE DISPOSAL")

Shareholders are referred to the announcement released on SENS on Monday, 12 October 2020 and published in the
press on Tuesday, 13 October 2020, wherein they were advised that the board of directors of the company had entered into
agreements regarding the Disposal.

Implementation of the Disposal is subject to approval thereof by the shareholders of Caxton in general meeting and, to the
extent necessary, the approval of the Competition Authorities.

Shareholders are advised that the general meeting of Caxton shareholders will be held at 09:00 on Monday, 14 December 2020 
at the offices of the company at Caxton House, 368 Jan Smuts Avenue, Craighall, Johannesburg.

Further information regarding the Disposal and the general meeting is available in the circular which was distributed to
shareholders today, Monday, 16 November 2020.
