RESULTS OF THE MEETING OF CREDITORS TO CONSIDER THE PROPOSED
BUSINESS RESCUE PLAN OF A SUBSIDIARY OF TONGAAT HULETT

Shareholders are referred to the SENS announcement released on 19 May 2023 wherein
shareholders were advised of the publication of the Tongaat Hulett Developments (Pty) Ltd
(“THD”) business rescue plan (“the THD Plan”) on 19 May 2023. Shareholders are advised
that the business rescue practitioners convened a meeting of creditors (“the THD Meeting”),
in terms of section 151 of the Companies Act 71 of 2008, as amended, to consider and vote
on the THD Plan on 30 May 2023.

Results of the THD Meeting

Votes were cast by all THD creditors and any other holders of a voting interest, present and
voting at the TDH Meeting, and of the votes cast:

– 99.8% voted in favour of the THD Plan;
– 0.02% voted against the THD Plan; and
– 0.00% abstained from voting on the THD Plan.

All of the votes cast in support of the THD Plan by THD were by independent creditors.

A notice to all affected persons of THD has been distributed and is available on the Company’s
website at www.tongaat.com.
