REPORT ON PROCEEDINGS AT ANNUAL GENERAL MEETING

At the annual general meeting of Trencor held today, all the
ordinary and special resolutions proposed were approved by the
requisite majority of votes.

The special resolution relating to the adoption of the Company's
new Memorandum of Incorporation, will be lodged for registration
with the Companies and Intellectual Property Commission in due
course.
