OF THE COMPANY’S ORDINARY SHARES
2023 Integrated Report and no change statement
Shareholders are advised that the 2023 integrated report and the audited annual financial statements for the 52
weeks ended 1 April 2023 has been distributed to shareholders and published on the group’s website
(www.mrpricegroup.com/investor-relations-integrated-report-suite/), today, 30 June 2023.
The audited annual financial statements contain no modifications to the reviewed preliminary group results which
were published on the Stock Exchange News Service on Thursday, 22 June 2023.
Notice of annual general meeting
Notice is hereby given that the 90th AGM of shareholders of the company will be held at Upper Level, North
Concourse, 65 Masabalala Yengwa Avenue, Durban on Wednesday, 30 August 2023 at 14h30 to transact the
business as stated in the notice of AGM, distributed and published on the company’s website
(www.mrpricegroup.com/investor-relations-integrated-report-suite/), today 30 June 2023.
In compliance with the provisions of the Companies Act, No. 71 of 2008 and the company’s memorandum of
incorporation, shareholders may participate in (but not vote at) the meeting by way of electronic participation. To
obtain electronic participation details, shareholders or their proxies must contact the company’s transfer
secretaries, Computershare Investor Services Proprietary Limited (“Computershare”) on
proxy@computershare.co.za by no later than 14h30 on Monday, 28 August 2023. Shareholders will be liable for
their own network charges in relation to electronic participation at the AGM.

Disclosure of significant holding of the company’s ordinary shares
In accordance with paragraph 3.83(b) of the JSE Limited Listings Requirements and section 122(3) of the
Companies Act 71 of 2008 (“the Act”), shareholders are advised that the company has received formal notification
that Public Investment Corporation SOC Limited (“PIC”) has increased its holding in the company, such that the
total interest in the ordinary shares of the Group held by PIC now amounts to 20.101% of the ordinary issued shares
of the company.
As required in terms of section 122(3)(a) of the Act, the company has filed the required notices with the Takeover
Regulation Panel.
The board of directors of the group accepts responsibility for the information contained in this
announcement as it relates to the company and confirms that, to the best of its knowledge and belief,
such information supplied by PIC relating to the company is true and that this announcement does not omit anything
likely to affect the importance of such information.
