DISCLOSURE OF ACQUISITION OF SECURITIES
Shareholders of GPI are referred to the joint firm intention announcement (“Firm Intention
Announcement”) published by the Company on the Stock Exchange News Service on
9 November 2022 regarding the mandatory offer made by GMB Liquidity Corporation
Proprietary Limited (“GMB Liquidity”).
In accordance with regulation 98(3) of the Companies Regulations, 2011, as amended,
(“Regulations”), shareholders of GPI are hereby advised that the Company has received
formal notification in the prescribed form from GMB Liquidity, advising that it acquired an
additional 4032 ordinary shares in the issued share capital of the Company on
10 November 2022 for a maximum price per share of R3.33 (“Acquisition”). Following the
Acquisition, the total of all beneficial interests held by GMB Liquidity in the Company amounts
to 35,1404% of the Company’s total issued ordinary share capital.
The requisite notice in terms of Regulation 98 has been filed with the Takeover Regulation
Panel in accordance with Regulation 98(2). The board of the Company accepts responsibility
for the information contained in this announcement and confirms that, to the best of its
knowledge and belief, such information accurately reflects the information contained in the
TRP 98 form received by the Company from GMB Liquidity.
