RENEWAL OF CAUTIONARY ANNOUNCEMENT

Shareholders are referred to the cautionary announcements
released on SENS on 19 November 2020, 9 December 2020 and 25
January 2021 respectively, and are advised that City Lodge
continues to be in negotiations associated with the unsolicited
non-binding offer for the proposed acquisition of the Company’s
East African operations, comprising of its hotels situated in
Kenya and Tanzania.

The continued negotiations, if successfully concluded, may have
a material effect on the price of the Company’s securities and
shareholders are advised to continue to exercise caution when
dealing in the Company’s securities until a further announcement
is made.
