CHANGES TO THE BOARD OF DIRECTORS AND COMMITTEES


In accordance with Section 3.59 of the JSE Limited Listing requirements,
eMedia Holdings shareholders are advised that Mr Andre Van Der Veen
(“Andre”) has been appointed as an executive director as of 14 November
2017. Andre is the Chief Executive Officer of eMedia Holdings.

The Board of directors has agreed and approved the establishment of the
Social and Ethics Committee established in terms of Section 72 (4) (read
with regulation 43) of the Companies Act 71 of 2008 and a Remuneration
Committee in terms of the JSE Listings Requirement 3.84(c). These
committees were previously established at subsidiary level and not at the
Holdings level, the subsidiary committees were dissolved and replaced by
the Committees at Holdings Level.

The Board approved the following membership to the committees: The
Remuneration Committee members are Rachel Watson (chairperson), Elias
Mphande and Johnny Copelyn. The Social and Ethics Committee members are
Johnny Copelyn (chairperson), Rachel Watson and Logie Govender.
