CHANGES TO THE BOARD AND COMPOSITION OF THE AUDIT COMMITTEE AND NOMINATION COMMITTEE
Shareholders and noteholders are advised that Ruth Benjamin-Swales has indicated that she will retire from
the Equites board and from her role as chairperson of the Audit Committee with effect from the Company's
annual general meeting to be held on 17 August 2023. Ruth has served on the Equites board for over eight years
and her decision to retire is aligned to Equites' policy of limiting the tenure of long-serving directors in line with
the recommendations of King IV. Subject to shareholder approval at the Company's annual general meeting,
Fulvio Tonelli, an independent non-executive director, will succeed Ruth as the chairperson of the Audit
Committee with effect from 17 August 2023.
Shareholders and noteholders are further advised that, with effect from 9 May 2023, Keabetswe Ntuli and
Fulvio Tonelli, both independent non-executive directors, have been appointed as members of the Nomination
Committee of the Company.
