CAUTIONARY ANNOUNCEMENT


Shareholders are referred to the announcement released on SENS on 22 June 2020 wherein Omnia advised
that the Company had received a non-binding indicative offer for Oro Agri that deserved the Board’s
consideration and that an engagement process was underway. The engagement process has progressed to final
negotiations and, if a transaction is concluded, this may affect the price at which Omnia’s securities trade.
Accordingly, shareholders are advised to exercise caution when trading in Omnia securities.
