APPOINTMENT OF EXTERNAL AUDITOR

Shareholders are referred to the announcement released on the Stock Exchange News Service
on 29 June 2021 and are advised that the board of directors of Remgro (Board) had endorsed
the recommendation by its Audit and Risk Committee, following a comprehensive tender process,
to appoint Ernst & Young Inc. (EY) as the external auditors of Remgro with Mr Malcolm Rapson
as the designated audit partner, for the financial year ending 30 June 2024.

Shareholders will be requested to approve EY's appointment at the Company's 2023 Annual
General Meeting, details of which will be communicated to shareholders in due course, which
appointment, if approved by shareholders, will be effective from the date of the 2023 AGM.

The change is due to the Company's decision to implement audit firm rotation on a voluntary basis
in spite of the recent ruling against mandatory audit firm rotation as proposed by the Independent
Regulatory Board for Auditors.

The Company's incumbent external auditor, PricewaterhouseCoopers Inc. (PWC) will continue to
serve as the Company's external auditor in respect of the financial year ended 30 June 2023.

The Board would like to extend its appreciation to PWC for their long-standing service to the
Company.
