In terms of the Barloworld Forfeitable Share Plan (FSP) approved by shareholders on 28 January
2010 certain shares were granted to executive directors of Barloworld Ltd on 17 March 2010.
75% of the total grant vests on a sliding scale based on achievement of various performance
conditions, namely Total Shareholder Return (TSR), Headline Earnings per Share and Return on
Equity, which will be tested separately. 25 % of the shares were granted subject to the executive
directors continued employment over a 3 year period and are not subject to performance
conditions.
The (TSR) component of the 2010 grant ended on 16 March 2013. The final vesting percentage
was independently calculated and 100% of the 2010 award linked to TSR has vested.
