APPOINTMENT OF CHAIRMAN OF THE BOARD AND CHANGES TO THE
COMMITTEES OF THE BOARD

In accordance with paragraph 3.59 of the JSE Limited Listings Requirements, the board of
directors of the Company (the "Board") is pleased to advise that Mr Gasant Orrie has been
appointed as an independent non-executive director and chairman of the Board with effect
from 25 April 2023.

Gasant is an admitted attorney and a senior partner in global law firm Clyde & Co's corporate
& advisory practice. Gasant has close to 30 years of corporate and commercial experience
and has advised local and international clients on some of South Africa's largest transactions,
including several public companies listed on the JSE and state-owned companies.

Gasant has a long history with GPI, having advised GPI as external legal counsel for many
years.

The Board welcomes Gasant and looks forward to his contribution to the Company and
welcomes him as chairman.

Following Gasant's appointment as an independent non-executive director and chairman of
the Board, in compliance with the Companies Act (No. 71 of 2008), the JSE Listings
Requirements, the Memorandum of Incorporation of the Company and the various charters of
the Board and its committees (each a "Committee"), the Board has resolved to reconstitute
the audit and risk committee and the investment committee such that the members of these
Committees are as follows:

Audit and Risk Committee
• Prof. Walter Geach (existing member and Chair);
• Ms Kaamilah Finch (existing member); and
• Mr Gasant Orrie (new member).

Investment Committee
 • Mr Gasant Orrie (new member and Chair);
 • Mr Gregory Bortz (new member); and
 • Ms Rozanna Kader (new member).
