NATURE OF THE (1) in respect of Peel Chapel No.4 Limited: settlement of the ten
TRANSCTION tranches of the derivative financing arrangement notified on 12
October 2016, being the automatic cash settlement of ten tranches
of put options granted to Peel Chapel No.4 Limited, each tranche
being over 1,060,000 shares in the issuer on each of:

(2) in respect of Peel Chapel No.4 Limited and Goodweather
Investment Management Limited: following each such settlement
described in (2) above, the subsequent intra-group transfer of each
tranche of 1,060,000 shares in the issuer (the "Transferred Shares")
from Peel Chapel No.4 Limited to Goodweather Investment
Management Limited (another Peel group company and a PCA of
John Whittaker). The first two tranches transferred on 8 March 2019.
The subsequent transfers will take place as soon as practicable
following the relevant cash settlement. Each such transfer will be at
the closing price on the trading day immediately prior to the relevant
transfer. No Transferred Shares will be transferred out of the Peel
Group by such transfers; and
(3) in respect of Goodweather Investment Management Limited: the
grant, by GIML, of security over the Transferred Shares following the
relevant transfer.
