GRANTING OF FINAL WINDING UP ORDER OF MURRAY & ROBERTS HOLDINGS LIMITED

We refer to the announcements published on SENS on 9 September 2025 and 7 October 2025
respectively, and confirm that the Gauteng Division of the High Court of South Africa ("the Court") granted
a final order for the liquidation of Murray & Roberts Holdings ("final winding up order") on 27 October
2025.

Mr Theo van den Heever has been appointed as the provisional liquidator.

Shareholders are reminded that the final winding up order pertains solely to Murray & Roberts Holdings,
the listed entity, and does not impact its downstream subsidiary Murray & Roberts Limited, which is a
separate legal entity currently under business rescue. The business rescue proceedings in respect of
Murray & Roberts Limited remain ongoing.

The suspension of trading in the Company's shares, which took effect on 22 November 2024 in terms of
paragraph 1.10 of the JSE Listing Requirements, remains in place. Shareholders will be advised in due
course of the proposed delisting of the Company pursuant to the final winding up order.
