NOTIFICATION OF FINANCIAL ASSISTANCE

Notice is hereby given that, pursuant to the authority granted to the board of directors of the Company
("Board") at the annual general meeting of the Company held on Friday, 28 February 2025, the Board
has adopted a resolution to provide financial assistance to its subsidiary, SPAR Holding AG, in the form
of guarantees for a total amount of CHF 44 million (approximately, R975 million), in respect of
SPAR Holdings AG's obligations to UBS Switzerland under a Credit Facility Agreement and an
Amortising Term Loan, the total value of which exceeds one-tenth of 1% of the Company's net worth.

Historically, the Company had issued a guarantee totalling CHF 66 million (approximately,
R1,463 billion) for loan obligations of SPAR Holdings AG. However, the recent refinancing of these loan
obligations resulted in the historical guarantee being cancelled and replaced with the above guarantees.

Prior to authorising the aforementioned financial assistance, the Board considered and satisfied itself,
as contemplated in section 45 of the Companies Act, No. 71 of 2008 ("Companies Act"), that
(i) immediately after providing the financial assistance, the Company would satisfy the solvency and
liquidity test as contemplated in section 4 of the Companies Act, and (ii) the terms of the financial
assistance are fair and reasonable to the Company.
