TRP121: NOTIFICATION OF AN ACQUISITION OF A BENEFICIAL INTEREST IN
SECURITIES
In compliance with Section 122(3)(b) of the Companies Act, No. 71 of 2008
(“Act”) and regulation 121(2)(b) of the Companies Act Regulations, 2011,
shareholders are advised that ArcelorMittal South Africa has received the
following notifications:
- the acquisition, by way of subscription, by Amandla We Nsimbi(Pty)
Ltd(“B-BBEE CO”), on 7 December 2016, of 243 240 276 “A1” ordinary
shares, such that B-BBEE CO has the beneficial interest of all the
“A1” ordinary shares in the issued capital of the Company;
- the acquisition, by way of subscription, by The Isabelo Employee
Share Trust (previously called the ArcelorMittal Employee Empowerment
Share Trust)(“The Isabelo Trust”), on 7 December 2016, of 72 972 083
“A2” ordinary shares, such that The Isabelo Trust has the beneficial
interest of all the “A2” ordinary shares in the issued capital of the
Company.
The above acquisition notification is as a result of the implementation of
the Company’s B-BBEE Ownership Transaction.
