NOTICE TO AFFECTED PERSONS OF TONGAAT HULETT LIMITED
Shareholders are advised that a notice has been issued in accordance with section 128 of the
Companies Act 71 of 2008 ("the Act"), as amended, read together with sections 144(3)(a), 145(1)(a)
and 146(a) of the Act, to Affected Persons ("Notice").
Shareholders are referred to the previous SENS announcement released on 3 June 2024 and should
note that the Company and the joint business rescue practitioners of the Company ("BRPs") have been
granted leave to appeal by the Supreme Court of Appeal ("SCA") in Bloemfontein against the judgment
of Honourable Judge Vahed dated 4 December 2023 in the High Court of South Africa, KwaZulu Natal
Local Division, Durban ("the Durban High Court") under case number D4472/2023 ("the declarator
application"). Further, the SCA ordered that the costs of the application for leave to appeal in the
Durban High Court and costs in the appeal in the SCA will be determined in the SCA appeal.
The Company and the BRPs now have one calendar month to deliver their notice of appeal to the SCA.
A copy of the declarator application and the SCA's order as referred to above is available on THL's
website at https://www.tongaat.com/business-rescue/.
Shareholders and Affected Persons are also reminded that all notices and documents regarding the
business rescue proceedings of the Company, including the abovementioned Notice, that have been
and/or will be circulated to all known Affected Persons are available on the THL website under the
'Business Rescue' tab https://www.tongaat.com/business-rescue/.
