Secretary

In accordance with the JSE Listings Requirements, the
following is disclosed in respect of dealings in securities
by the company secretary.

In accordance with the BEE Management Share Ownership
Scheme (MSOP) approved by shareholders in 2007, the company
secretary was granted share awards on 1 February 2010. The
MSOP shares vested in the MSOP trust on 1 August 2012, and
these awards converted to ordinary shares, translating to a
converted   combined  benefit of 35 080 Tongaat Hulett
ordinary shares. As at 1 February 2015 these shares were
released from the 5 year restricted period and were
subsequently delivered to the company secretary, on the
fifth anniversary from the grant date in terms of the rules
of the MSOP scheme. An election has been made to sell some
of the shares (including to pay the associated tax) and to
retain the balance, as follows:
