Dealings in Securities by an Associate of a Director

Finbond has received a notification from Dr. W van Aardt of a
sale of Finbond shares by Kings Reign Investments (Pty) Ltd
(“KRI”). The rationale of the sale inter alia was to broaden the
institutional shareholder base and public spread of Finbond, to
diversify and rebalance KRI’s investment portfolio and to
provide KRI with liquidity for strategic investment purposes.

In compliance with paragraphs 3.63 to 3.74 (both inclusive) of
the Listings Requirements of the JSE Limited (“JSE”) (“Listings
Requirements”), the information relating to dealing in Finbond
shares by an associate of a director of the Company is disclosed
as follows.

Clearance to trade was provided by the Chairman of the Finbond
Board in terms of paragraph 3.66 of the Listings Requirements.

Following this sale KRI owns 38,7% or 234 240 732 of Finbond’s
ordinary shares and KRI “remains confident in Finbond’s long
term strategic objectives and growth prospects.”


*The above sale price per security is the volume weighted an average price of
several trades on 18 December 2014. The highest price at which KRI traded was
R 3.17 and the lowest price was R 3.00. The highest price at which the market
traded on 18 December 2014 was R 3.25 and the lowest price was R 2.99.
