RENEWAL OF CAUTIONARY ANNOUNCEMENT
Shareholders and noteholders are referred to the Cautionary Announcements issued on the Stock
Exchange News Service on 15 February 2023 and 23 March 2023 respectively, regarding the decision by
the board of directors of Life Healthcare (“Board”) to formally engage third parties with respect to their
unsolicited proposals (“Proposals”) to acquire the Group’s interest in Alliance Medical Group (“AMG”).
Shareholders and noteholders are advised that the Board, through its advisers, is still engaging with the
third parties concerned. The non-exclusive engagement is centred around assessing the viability and
suitability of the Proposals and accordingly whether a sale of AMG, if implemented, could be in the
interests of all stakeholders.
Whilst the Board is working expeditiously, no guidance can be provided to shareholders and noteholders
at this stage on either the likely timing or the outcome of this engagement. The development of the
engagement may therefore continue to have a material impact on the price of the Company’s securities.
Accordingly, shareholders and noteholders are advised to continue to exercise caution when dealing in
the Company’s securities until a further announcement is made.
