RENEWAL OF CAUTIONARY ANNOUNCEMENT

Shareholders are referred to the cautionary announcement released on
SENS on 09 November 2022 and the subsequent renewal of such
announcement on 22 December, wherein the Company advised that African
Equity Empowerment Investments Limited (“AEEI”), who holds [56%] of
the shares in the Company, indicated that it is about to make a firm
intention to make an offer to acquire all of the ordinary shares in
the Company not held by AEEI and shareholders acting in concert with
AEEI (“Proposed Transaction”).

Shareholders are further referred to the announcement released on SENS
on 09 February 2023, wherein the Company gave an update to the proposed
transaction, wherein shareholders are advised that AEEI has considered
and determined that it would be prudent to substitute AEEI with
Sekunjalo Investment Holdings Proprietary Limited (“Sekunjalo”) as
offeror under the Proposed Transaction (“Substitution”), following
the ruling by the JSE Limited (“JSE”) that the Proposed Transaction
constitutes a related party transaction for AEEI in terms of section
10 of the JSE Listings Requirements (“JSE Opinion”). Sekunjalo is the
holding company of AEEI and, therefore, the concert parties under the
Proposed Transaction will remain unchanged. AEEI will therefore no
longer acquire any PFB shares in terms of the Proposed Transaction


The abovementioned negotiations on the Proposed Transaction are still
in progress, which if successfully concluded, may have a material
effect on the price of the Company’s securities. Accordingly,
shareholders are advised to continue exercising caution when dealing
in their PFB securities until a further announcement is made.
