APPOINTMENT TO THE AUDIT AND RISK COMMITTEE OF THE COMPANY

In accordance with paragraphs 3.59(c) and 6.39(c) of the JSE Limited Listings Requirements
and Debt Listings Requirements, respectively, the board of directors of the Company
(“the Board”) wishes to advise that Ms W Y N Luhabe, the Chairman of Pepkor, has been
appointed to the Audit and Risk Committee of the Company with effect from 15 April 2021.

The appointment is made in terms of Section 94(6) of the Companies Act, No. 71 of 2008, as
amended (“the Companies Act”), in order to fill the vacancy on that committee.

The appointment is only for such time until the Company has appointed an independent
non-executive director who can also be appointed to the Audit and Risk Committee so as to
ensure compliance with the minimum membership in terms of Section 94(2) of the
Companies Act.
