Dealings by an associate of an executive director of the Company : Dr Quinton van
Rooyen.


Shareholders are referred to the announcement published on SENS dated 4 July 2019 in
terms whereof shareholders were updated on a stock lending agreement between an
associate of an executive director and Evo Fund (“EVO”). In terms of the before mentioned
announcement, 2 000 000 TTO Shares have been transferred to EVO by an associate of Dr
van Rooyen. Subsequently the stock lending agreement has lapsed and the shares would
be returned.


Shareholders are advised that a waiver has been granted by the JSE in terms of paragraph
3.70 of the JSE Limited Listings Requirements (‘Listings Requirements”). As per the stock
lending agreement, EVO is to redeliver the borrowed shares to Le-Hugo upon the 3rd
anniversary of the subscription date. Shareholders are further advised that the redelivery
date of the borrowed shares falls within Trustco’s close period and therefore, Le-Hugo
Investments has no control over this transaction, as it was agreed upon.
