FINALISATION ANNOUNCEMENT REGARDING THE DECLARATION OF A SPECIAL
DIVIDEND

Shareholders are referred to Barloworld’s annual results for the 12 months ended 30
September 2022 released on SENS on 21 November 2022 (“Annual Results
Announcement”) which included the declaration of a special dividend in the amount of 550
cents per ordinary share (“Special Dividend”) subject to the applicable dividends tax levied
in terms of the Income Tax Act (Act 58 of 1962) (as amended).

The Annual Results Announcement stated that the Special Dividend is subject to Exchange
Control approval and shareholders are now advised that Exchange Control approval has been
obtained.

The salient dates for the declaration of the Special Dividend remain unchanged as announced
in the Annual Results Announcement.
